Tokenised equities: what they are and who they are for

Tokenised equities look like shares in a wallet. They are usually not the share. Kraken’s product page is explicit. xStocks are tokenised representations of real-world stocks and ETFs, backed 1:1, and they do not confer shareholder rights like voting. Dividends, where they exist, increase the token balance rather than arriving as a cash cheque from the company. The glass in the hero is the right picture. One side holds a paper certificate. The other side holds a phone. Both can be real. They are not the same claim.

This page is educational. It is not an offer, a solicitation, or personal advice. xStocks are not available in the United States, to US persons, or in other restricted places. Read the Backed base prospectus and final terms and Kraken’s risk disclosure before you treat any ticker as a substitute for a brokerage holding.

What they are

In the xStocks design, a token is issued by Backed Assets (JE) Limited, a Jersey company, and offered on venues such as Kraken through a Bermuda-licensed affiliate. Each token is described as fully backed 1:1 by the underlying stock or ETF, held with a licensed custodian in a bankruptcy-remote structure. Backed’s site adds that tokens are freely transferable, composable with DeFi protocols, and redeemable for the underlying asset’s cash value under the product documents, not that they turn the holder into a shareholder of record at Apple or NVIDIA.

That last clause is the whole product. Price exposure is the feature. Voting is not. Corporate actions arrive, if they arrive, as a token-balance change. Kraken’s FAQ says dividend payouts are automatically reinvested into more of the same token. Weekend trading on Kraken is 24/5. Self-custody wallets can trade the token 24/7 on-chain. Traditional US cash equities still sleep on weekends. The hours are real. The legal package is still a tokenised note, not a CSD position in your name.

a16z’s 2025 industry report put all tokenised real-world assets at about $30 billion. That basket includes Treasuries, private credit, and property. Tokenised public stocks are a slice. RWA.xyz’s stocks dashboard is the slice you can reload. On 4 September 2026 it showed $2.77 billion distributed value, $22.98 million represented value, and $21.71 billion monthly transfer volume. Volume is not the same as value outstanding. Do not quote the tape as if it were AUM.

Who they are for

They are for a non-US person who already lives in a crypto venue, wants US large-cap price exposure in the same wallet as a stablecoin, and accepts that they will not vote and may not be able to hold the product at all if they travel to a restricted country. Kraken lists geo limits in the support article linked from the product page. If your compliance answer is “I do not know whether I am a US person”, you are not the customer.

They are not a workaround for a blocked brokerage. They are not a cheaper S&P 500 for someone who can already buy SPY. They are not a way to own a company. The marketing line “hold stocks in my wallet” is a custody sentence. It is not a company-law sentence. Real-world asset tokenisation is the wider claim. This page is the retail product that actually trades.

A Mauritius or African SME treasurer who needs dollar liquidity is usually better served by a payment stablecoin and a bank relationship than by an NVIDIA token. Fintech disruption in 2026 is that map. Tokenised equities sit on the speculative-access branch, not the payroll branch.

What can go wrong

Basis risk. The token tracks an execution price. It can trade away from the cash market, especially off hours. Issuer and custodian risk. 1:1 backing is a promise in a document, not a law of physics. Smart-contract and chain risk once the token leaves the venue. Regulatory risk. The product is not registered with local securities regulators, in Kraken’s own footer. Venue risk. Listing on Bybit or a DEX is not the same as listing on NYSE. Restriction risk. A wallet that worked in one country can fail a geo check in another.

Kraken’s February 2026 blog claimed more than $25 billion of total transaction volume across CEX, DEX, mint and redemption, and about $225 million of aggregate AUM. That is the issuer-venue’s own tape. RWA.xyz’s independent table on 4 September 2026 put xStocks at $641.9 million. Different windows, different definitions. Prefer the tracker you can reload, and treat vendor volume as vendor volume. Do not build a board paper on a press-release tape.

How to decide without pretending it is a share

Write four lines before you buy. Am I allowed to hold this where I live? Do I accept that I cannot vote? Can I name the issuer, the custodian, and the prospectus URL? If the venue froze withdrawals, what would I still own? If any line is blank, stay with a regulated brokerage or do nothing.

If the four lines are filled, size it as a crypto product with equity-like price risk, not as an equity with crypto rails. Read the Backed documents. Read Kraken’s xStocks risk disclosure. Then decide, or walk away. Walking away is a complete answer.

Tokenised equities are a live, restricted product that tracks listed stocks and ETFs without making you a shareholder. They are for people who already accept crypto venue risk and cannot, or will not, hold the cash security. They are not a magic share certificate that moved onto a chain. The glass is still there.

Key takeaways

  • xStocks, per Kraken, do not confer voting or share ownership. They offer 1:1 backed price exposure, issued by Backed Assets (JE).
  • RWA.xyz on 4 September 2026: $2.77 billion distributed value across tokenised stocks. xStocks were $641.9 million on that table.
  • a16z’s $30 billion RWA figure is a wider basket. Do not quote it as the size of tokenised equities.
  • Not for US persons. Geo limits apply. Prospectus and risk disclosure first.
  • This is education, not advice. A ticker that looks like AAPL is still a token until the document says otherwise.

FAQ

What are tokenised equities?

Tokens that track listed stocks or ETFs, usually 1:1 backed by the underlying held at a custodian. In the xStocks design they do not make you a shareholder and do not carry voting rights.

Do I own the company if I hold an xStock?

No. Kraken states that xStocks do not confer shareholder rights such as voting. You hold a token with price exposure, not a share of record.

Who is the typical holder?

A non-US person already on a crypto venue who wants US large-cap price exposure in a wallet, and who accepts venue, issuer, and geo-limit risk. Not someone looking for a cheap way around a brokerage ban.

How big is the market?

RWA.xyz showed $2.77 billion of distributed value in tokenised stocks on 4 September 2026. That is a sliver beside stablecoins, and a slice of a16z’s wider $30 billion RWA figure.
